Welcome to TravelExits.com ("TravelExits," "Company," "we," "us," or "our") is operated under the trade name TravelExits, which is a DBA of TravelStartups.co LLC, a Florida limited liability company, with a business address at 7901 4TH ST N STE 300, ST. PETERSBURG, FL 33702.
These Terms of Use ("Terms") govern your access to and use of our website, platform, and related services (collectively, the "Services").

2. Nature of Services (M&A Brokerage Platform)
TravelExits operates as a M&A business brokerage platform specializing in travel, tourism and hospitality businesses. We may act as a broker representing either:

All listings on the platform are businesses with which we have a direct commercial engagement.
We represent only one side of a transaction (buyer or seller) at a time unless expressly disclosed and agreed in writing.
3. No Securities Offering or Capital Raising
TravelExits does not engage in the business of raising capital, offering securities, or acting as a broker-dealer.
The Services are limited to facilitating the purchase and sale of operating businesses and assets. We do not:
- Offer or sell securities
- Facilitate investment rounds, syndications, or capital raises
- Act as an intermediary in securities transactions
Nothing on this platform constitutes an offer to sell or a solicitation of an offer to buy any security.
Users are solely responsible for ensuring compliance with applicable securities laws, and should consult their own legal and financial advisors where applicable.
4. Fees and Compensation
We generate revenue through:
- M&A Listing Fees (paid by both buyers and sellers)
- M&A Transaction Fees (paid upon closing)
Fees are paid by buyers or sellers depending on representation. Full terms are defined in separate written agreements.
5. Engagement Agreements Control
If you enter into a separate written engagement agreement with TravelExits (including but not limited to sell-side or buy-side representation agreements), that agreement will control and override these Terms in the event of any conflict.
6. No Automatic Advisory Relationship
Use of the website alone does not create a broker-client, advisory, or fiduciary relationship. Such a relationship exists only upon execution of a written engagement agreement.
7. Qualified / Accredited Buyer Requirement
Certain content, listings, and transaction opportunities may be restricted to users who are qualified buyers.
By accessing such materials, you represent that you:
- Have the financial capacity to complete transactions you pursue
- Are evaluating opportunities for bona fide acquisition purposes
- May be required to verify status as an accredited investor, qualified purchaser, or otherwise financially sophisticated party, where applicable
We reserve the right to:
- Deny or revoke access to listings
- Request proof of financial capability or qualifications
8. Confidentiality and Information Use
You agree:
- To keep all non-public information confidential
- Not to share or distribute deal-related information
- To use information solely for evaluating a transaction
Execution of a Non-Disclosure Agreement (NDA) may be required.
9. No Reliance Disclaimer
Information on the platform:
- Is provided by both buyers and sellers
- May not be independently verified
You agree to perform independent diligence and not rely solely on such information.
10. User Conduct
You agree not to:
- Submit false or misleading information
- Circumvent TravelExits to transact directly
- Use the platform for competitive intelligence
- Interfere with systems or security
11. Non-Circumvention
You may not bypass TravelExits to transact with any party introduced via the platform.
We reserve the right to pursue:
- Transaction fees
- Damages
- Injunctive relief
12. User Content
You retain ownership of submitted content but grant us a non-exclusive, worldwide, royalty-free license to use it in connection with the Services.
13. Third-Party Services
We may use third-party providers. We are not responsible for their actions.
14. Disclaimer of Warranties
Services are provided "as is" without warranties of any kind.
15. Limitation of Liability
